SEO Terms And Conditions
- Details of the parties entering into the contract
This Agreement is hereby entered into between Web SEO Ltd (hereinafter referred to as “we”, “us”, “SEO”, “our”) and Yourself (hereinafter referred to as “Client”, “you”).
- Representations and Warranties
Web SEO Ltd agrees to provide the Client with Search Engine Optimisation and Reporting Services (hereinafter referred to as “SEO”, “Optimised Content Marketing”) as described in our website. We are authorised to use the specific keywords and/or phrases for developing and improving the natural visibility of the Client’s site(s) in the search engines (Google, Yahoo, Baidu and Bing).
- Definitions
To bring clarity into this contract, we are going to define some SEO terms/jargons which we use. Our goal is to develop a contract in plain English which is mutually understood by all the parties entering into the contract and which minimizes erroneous beliefs. However, we make no warranty/guarantee of accuracy and completeness of the SEO terms described below. Our definitions should not be considered as the be-all and end-all of SEO terminology. For the purposes of this Agreement:
“Deliverable” – a term used in project management to describe a tangible or intangible object produced as a result of the project that is intended to be delivered to a customer (either internal or external). A deliverable could be a report, a document, a server upgrade or any other building block of an overall project
“SEO” – Search engine optimisation (SEO) is the process of improving the volume or quality of traffic to a website from search engines via “natural” or un-paid (“organic” or “algorithmic”) search results as opposed to search engine marketing (SEM) which deals with paid inclusion.
“Social Media Optimisation” – a set of methods which are used to generate publicity through social media.
“Search Engines” – a computer program which is used to retrieve documents from a computer network. Three popular search engines are Google, Yahoo and Bing.
“Client’s Competitor” – It is an individual or a company which is in the same exact niche as the Client and is targeting the same/identical keywords in the same/nearby geographic location(s).
“Keyword” – Keyword or keyword phrase is a search term(s) which is used to retrieve information through search engines.
“Keyword Research” – It is a practice used by Search Engine Optimisation professionals to find and research actual search terms people enter into the search engines when conducting a search.
“Keyword stuffing” – It is considered to be an unethical Search Engine Optimisation (SEO) technique. Keyword stuffing occurs when a web page is loaded with keywords in the meta tags or in content.
“Keyword cannibalization” – Several web pages targeting the same keyword(s)
“URL” – It is the address of the web page on the Internet.
“URL Canonicalization” – It is the process of picking the best URL when there are several choices, and it usually refers to home pages.
“Link Building” – It is a Search Engine Optimisation technique which is used to get backlinks (or votes) for a website.
“Link Acquisition” – Link acquisition is any content or feature within a website that somehow encourages viewers to place links to it from other websites.
“Website Usability” – It means how easy it is for visitors to use your website.
“Website Accessibility” – It means how accessible your web pages are to your visitors and search engines.
“User Engagement” – It refers to the degree to which a visitor has been positively influenced by the website and is engaged to it.
“Conversions” – Also known as goals. They can be orders, leads, downloads, page views, sign ups, traffic, etc.
“Conversion Rate” – It is the percentage of visits which result in goal conversions.
“KPI” – KPI or Key Performance Indicator is used to measure how well an organization or individual is accomplishing its goals and objectives.
“Link popularity” – It is the measure of the quantity and quality of inbound links (back links) to your website.
“Confidential Information” – It includes but is not limited to, any and all fees, services, documents, recommendations, reports, e-mails, postal mail, courier or phone/skype consultation for the purpose of reporting, recommending or educating the Client by Web SEO Ltd for carrying out Search Engine Optimisation services.
- Deliverables
Web SEO Ltd is committed to provide following deliverables:
- Website Best Practice Audit – It provides (but it not limited to):
- Review of issues related to website usability, website credibility, website accessibility, user engagement, legal issues and suggestions regarding how to fix them.
- Recommendations for avoiding/fixing negative SEO issues (keyword stuffing, duplicate content, URL canonicalization, hidden text, hidden links, sneaky redirects, keyword cannibalization, etc.)
- Recommendations regarding content development. What type of content and content categories can attract additional traffic and links and can help in improving conversions (goals).
- Review of the Client’s site traffic – how visitors find your website and where they come from.
- Keyword Research Report– It provides a list of keywords that can bring the highest volume of relevant traffic to the website along with their search volume. It also provides longer tail keyword suggestions which may not bring volumes of traffic but can potentially trigger a higher conversion rate.
- Website Optimisation– We advise to fix any issues we have identified, so that the website works for the Client’s business and is able to convert relevant traffic into sales or leads. Onsite optimisation can be taken against your monthly hourly campaign or can be purchased at a separate cost POA.
- On-page optimisation – We may modify the title tags, meta tags, content, HTML code and other on-page factors of a Client’s website to make it more relevant to search engines (Google and Bing) for the targeted keywords. We aim to improve keyword positioning/placement to attract additional traffic to the site.
- Link Building– We acquire/request/write for and submit links from a vast array of websites to improve the search visibility of your website in the search engines.
- Link Acquisition/Viral Content Development – We may develop and promote content (press releases, articles, guest blog posts,) which help in getting additional traffic and links to your site.
- Social Media Optimisation– We may provide advice on social media optimisation and how you can integrate social activities within your website.
- SEO Reporting– We continuously monitor the effectiveness of our SEO campaign via an automated online reporting system which is updated daily.
- Payment Terms
Invoices are provided monthly on or around the date you start your campaign and all invoices must be cleared within 10 days. Client agrees to pay the fee for monthly SEO services and confirms this via telephone/email/online form. All payments shall be made in £ GBP (British pounds sterling), unless otherwise agreed by Web SEO Ltd. If the Client decides to end the project for lack of funds, change in focus or for any other reason other than which violates any term of this Agreement, then the Client is required to pay for all the work Web SEO Ltd has done up to the time that Client notifies Web SEO Ltd not to continue with the project
- Assignment of Specific Rights
For the purposes of receiving professional SEO services, the Client agrees to provide the following:
- Give Web SEO Ltd FTP and other back-end admin access to the website to make changes to the site for the purpose of on-page optimisation.
- Permission to communicate directly with any third parties, e.g. your web designer, if necessary.
- Full access to existing website traffic statistics for analysis and tracking purposes.
- Client authorizes Web SEO Ltd use of all Client’s logos, trademarks, website images, content, etc., for use in creating articles and any other uses as deemed necessary by Web SEO Ltd for Search Engine Optimisation.
- If the Client’s site is lacking in textual content, the Client will provide additional text content in electronic format for the purpose of creating additional or richer web pages. Web SEO Ltd can create site content at additional cost to the Client. If the Client is interested in purchasing content from Web SEO Ltd, it can be provided at additional cost.
- Non-Disclosure Agreement
At any time during or subsequent to the contract period, Client agrees to keep in strictest confidence and trust all of the Web SEO Ltd confidential information to which the Client has access. The Client will not use or disclose the Web SEO Ltd confidential information without the written consent of Web SEO Ltd. Client agrees not to attack/criticize Web SEO Ltd or any of its employees, associates or partners publicly (on public forums, blogs, social networks, etc.) at any time during or subsequent to contract period. In case of breach of non-disclosure Agreement, Client agrees to pay Web SEO Ltd a reasonable cost for damages.
- Disclaimer
Client acknowledges the following with respect to SEO services from Web SEO Ltd:
- All fees are non-refundable.
- Web SEO Ltd has no control over the policies and ranking algorithms of search engines with respect to the type of sites and/or content that they accept now or in the future. Client’s website may be excluded from any search engine or directory at any time at the sole discretion of the search engine or directory.
- Due to the competitiveness of some keywords/phrases, on-going changes in search engine ranking algorithms and other competitive factors, Web SEO Ltd does not guarantee No.1 positions or consistent top 10 positions for any particular keyword, phrase, or search term.
- Web SEO Ltd assumes no liability for ranking, traffic, indexing issues related to penalties. Consequently, Client understands that ranking new websites is much more difficult than ranking old and established sites and he should not have unrealistic expectations about rankings, traffic and revenues.
- A new website may get a temporary boost in ranking for some targeted keywords for a few days before the website settles down to its real place. This is known as ‘new site boost effect’ and it is quite common. Consequently the Client understands that a new site has not really got top rankings within a month and soon it will revert down to its actual position.
- Occasionally, search engines will drop listings for no apparent reason. Often, the listing will reappear without any additional SEO efforts. This happens because of on-going changes in the ranking algorithm. A websites search engine ranking can fluctuate any day due to any changes made by the competitors.
- Web SEO Ltd makes no guarantee/warranty of project timeline or added expenses (like charging additional fees, etc.) if:-
- The Client fails to resolve Web SEO Ltd queries on time.
- Makes delays in providing required access, documents, permissions or any support for Search Engine Optimisation purpose.
- Fails to make necessary changes to the website as and when advised by Web SEO Ltd for carrying out the Search Engine Optimisation services.
- There is a server outage for prolonged time on Client’s site.
- SEO work is destroyed either wholly or in parts, either knowingly or unknowingly by any party without the prior consultation of Web SEO Ltd. SEO work is considered to be destroyed either wholly or in parts if the following changes (but not limited to) are made to a website by any party other than Web SEO Ltd or without first consulting Web SEO Ltd:
- Changes in the file(s) or folder(s) name.
- Putting a file in a different folder or putting a folder in another folder or sub domain.
- Making changes in the head section of a document like changing the text in the title tag, removing certain HTML tags required for site authentication.
- Deleting a link, folder, file, web document or sub domain.
- Modifying text on a web document like changing the formatting of the text or repositioning the text.
- Removing analytics code from the web page which is used to track website traffic.
- Linking out to any website without prior consultation of the Web SEO Ltd
- Adding a file, folder, web document, widget or any functionality.
- Renaming URLs of existing web documents.
- Taking down the website or part of the website.
- Renaming, re-locating, adding or removing any file, folder or sub domain on a web server including web documents, robots.txt, .htacess file, sitemap.xml, rss.xml, etc.
- Changes in the site architecture
- Changes in the anchor text
- Making any changes on an optimised web page
- Uploading a new website to the domain.
- Duplicating content either on the website or releasing it online through other websites.
- The Client guarantees any elements of text, graphics, photos, designs, trademarks, or other artwork provided to Web SEO Ltd for inclusion on the website above are owned by the Client, or that Client has received permission from the rightful owner(s) to use each of the elements, and will hold harmless, protect, and defend Web SEO Ltd and its subcontractors from any liability or suit arising from the use of such elements.
- Web SEO Ltd is not responsible for the Client overwriting SEO work. The Client will be charged an additional fee for re-constructing, re-optimising content/web pages.
- The Client understands that his SEO alone cannot be held responsible for his site’s success or failure. The Client understands that he needs to work as a partner with his SEO provider, give him the necessary time and commitment and follow his advice/suggestions seriously and on time to make his marketing campaigns a success.
- When this contract comes to an end or Cancellation
This contract comes to an end when everything specified in the contract has been done. It can also end if there is a breach of contract and either party decides to cancel it. The contract can also be ended by mutual Agreement of the parties involved in contract or when it becomes impossible to carry out the obligations specified in the contract due to man-made calamities (such as, but not limited to, riots, acts of terrorism, war, etc.) or natural calamities (such as, but not limited to, flood, hurricane, earthquake, volcanic eruption, etc.).Contracts can be cancelled with 30 days written notice after the initial 30 days.
- Governing Law and Jurisdiction
Governing law means which country’s rule of interpretation and legal remedies applies in case of any dispute arising out of the contract. Jurisdiction means the place where your dispute will be heard. This Agreement (Contract) shall be governed by the laws of Britain and the British court in respect of any dispute or difference between the Client and Web SEO Ltd arising out of this Agreement (Contract). Any dispute or difference can also be resolved outside the court by appointing an independent third party (also known as arbitrator) on mutual Agreement of the Client and Web SEO Ltd. However, in this case the arbitrator’s decision is considered to be final and cannot be disputed or appealed in a court of law. This contract is all inclusive, however, if there is a verbal or written agreement that exists between the two parties stated in this agreement, they will be reviewed separately. By agreeing to this contract in writing via letter or email you agree that you fully understand this contract, you are legally competent and authorized to enter into the contract and you agree to this contract on your ‘own free will’ without any undue influence, misrepresentation of facts or by mistake. You also represent and warrant to Web SEO Ltd that you have no interest or obligation which is inconsistent with or in conflict with this agreement or which would prevent, limit or impair Web SEO Ltd. performance of any part of this agreement. You agree to notify Web SEO Ltd immediately if any such interest or obligation arises

Web Design Terms and Conditions
The following terms and conditions apply to all website development / design services provided by Web SEO Ltd to the Client.

- Acceptance
It is not necessary for any Client to have signed an acceptance of these terms and conditions for them to apply. If a Client accepts a quote then the Client will be deemed to have satisfied themselves as to the terms applying and have accepted these terms and conditions in full.
Please read these terms and conditions carefully. Any purchase or use of our services implies that you have read and accepted our terms and conditions.
- Charges
Charges for services to be provided by Web SEO Ltd are defined in the project quotation that the Client receives via e-mail and/or in writing. Quotations are valid for a period of 60 days. Web SEO Ltd reserves the right to alter or decline to provide a quotation after expiry of the 60 days.
Unless agreed otherwise with the Client, all website design services require an advance payment of a minimum of ten (10) percent or £125, whichever is greater, of the project quotation total before the work is supplied to the Client for review with the remaining ninety (90) percent, or quotation – £125 deposit, of the project quotation total due upon completion of the work, or after 31 days from the initial payment, whichever is sooner, prior to upload to the server or release of materials.
Payment for services is due by cash, cheque or bank transfer. Cheques should be made payable to Web SEO Ltd and sent to hello@webseo.company. Bank details will be made available on invoices.
- Client Review
Web SEO Ltd will provide the Client with an opportunity to review the appearance and content of the website during the design phase and once the overall website development is completed. At the completion of the project, such materials will be deemed to be accepted and approved unless the Client notifies Web SEO Ltd otherwise within ten (10) days of the date the materials are made available to the Client.
- Turnaround Time and Content Control
Web SEO Ltd will install and publicly post or supply the Client’s website by the date specified in the project proposal, or at date agreed with Client upon Web SEO Ltd receiving initial payment, unless a delay is specifically requested by the Client and agreed by Web SEO Ltd Web Design.
In return, the Client agrees to delegate a single individual as a primary contact to aid Web SEO Ltd with progressing the commission in a satisfactory and expedient manner.
During the project, Web SEO Ltd will require the Client to provide website content; text, images, movies and sound files etc. to populate the website.
- Failure to provide required website content:
Web SEO Ltd is a small business, to remain efficient we must ensure that work we have programmed is carried out at the scheduled time. On occasions we may have to reject offers for other work and enquiries to ensure that your work is completed at the time arranged.
This is why we ask that you provide all the required information at least one (1) week prior to the agreed completion date. On any occasion where progress cannot be made with your website because we have not been given the required information in the agreed time frame, and we are delayed as result, we reserve the right to impose a surcharge of up to 25%. If your project involves Search Engine Optimisation we need the text content for your site agreed in advance so that the SEO can be planned and completed efficiently.
If you agree to provide us with the required information and subsequently fail to do before the agreed time, one (1) week prior to the project completion date we reserve the right to close the project and the balance remaining becomes payable immediately. Simply put, all the above condition says is do not give us the go ahead to start until you are ready to do so.
Web SEO Ltd agree to make periodical updates to any sites commissioned and hosted by Web SEO Ltd Web Design. This is subject to a fair usage clause. Web SEO Ltd reserve the right to refuse to update websites if such requests exceed 3 hours of development time per site per annum.
NOTE: Text content should be delivered as a Apple Pages, Microsoft Word, pdf file, email (or similar) document with the pages in the supplied document representing the content of the relevant pages on your website. These pages should have the same titles as the agreed website pages. Contact us if you need clarification on this.
If you are commissioning a CMS website you will be provided with a content management system so that you are able to keep your content up to date yourself.
- Payment
Invoices will be provided by Web SEO Ltd upon completion but before publishing the live website. Invoices are normally sent via email; however, the Client may choose to receive hard copy invoices. Invoices are due upon receipt. Accounts that remain unpaid thirty (30) days after the date of the invoice will be assessed a service charge in the amount of the higher of twenty percent (20%) or £30 per month of the total amount due, whichever is greater.
- Additional Expenses
Client agrees to reimburse Web SEO Ltd for any additional expenses necessary for the completion of the work. Examples would be purchase of special fonts, stock photography, plugins etc. This payment will be required prior to the purchase of the additional required materials.
- Web Browsers
Web SEO Ltd makes every effort to ensure websites are designed to be viewed by the majority of visitors. Websites are designed to work with the most popular current browsers (e.g. Firefox, Microsoft Edge, Google Chrome, etc.). The client agrees that Web SEO Ltd cannot guarantee correct functionality with all browser software across different operating systems.
Web SEO Ltd cannot accept responsibility for web pages which do not display acceptably in obsolete version or new versions of browsers released after the website have been designed and handed over to the Client. As such, Web SEO Ltd reserves the right to quote for any work involved in changing the website design or website code for it to work with updated browser software.
- Default
Accounts unpaid thirty (30) days after the date of invoice will be considered in default. If the Client in default maintains any information or files on Web SEO Ltd Web Design’s Web space, Web SEO Ltd will, at its discretion, remove all such material from its web space. Web SEO Ltd is not responsible for any loss of data incurred due to the removal of the service. Removal of such material does not relieve the Client of the obligation to pay any outstanding charges assessed to the Client’s account. Cheques returned for insufficient funds will be assessed a return charge of £25 and the Client’s account will immediately be considered to be in default until full payment is received. Clients with accounts in default agree to pay Web SEO Ltd reasonable expenses, including legal fees and costs for collection by third-party agencies, incurred by Web SEO Ltd in enforcing these Terms and Conditions.
- Termination
Termination of services by the Client must be requested in a written notice or email and will be effective on receipt of such notice. Telephone requests for termination of services will not be honoured until and unless confirmed in writing or email. The Client will be invoiced for design work completed to the date of first notice of cancellation for payment in full within thirty (30) days.
- Indemnity
All Web SEO Ltd services may be used for lawful purposes only. You agree to indemnify and hold Web SEO Ltd harmless from any claims resulting from your use of our service that damages you or any other party.
- Copyright
The Client retains the copyright to data, files and graphic logos provided by the Client, and grants Web SEO Ltd the rights to publish and use such material. The Client must obtain permission and rights to use any information or files that are copyrighted by a third party. The Client is further responsible for granting Web SEO Ltd permission and rights for use of the same and agrees to indemnify and hold harmless Web SEO Ltd from any and all claims resulting from the Client’s negligence or inability to obtain proper copyright permissions. A contract for website design and/or placement shall be regarded as a guarantee by the Client to Web SEO Ltd that all such permissions and authorities have been obtained. Evidence of permissions and authorities may be requested.
- Standard Media Delivery
Unless otherwise specified in the project quotation, this agreement assumes that any text will be provided by the Client in electronic format (text files delivered on USB drive or via e-mail or FTP) and that all photographs and other graphics will be provided in .gif, .jpeg, .png or .tiff format. Although every reasonable attempt shall be made by Web SEO Ltd to return to the Client any images or printed material provided for use in creation of the Client’s website, such return cannot be guaranteed.
- Design Credit
A link to Web SEO Ltd will appear in either small type or by a small graphic at the bottom of the Client’s website. If a graphic is used, it will be designed to fit in with the overall site design. If a client requests that the design credit be removed, a nominal fee of 20% of the total development charges will be applied. When total development charges are less than £500, a fixed fee of £100 will be applied. The Client also agrees that the website developed for the Client may be presented in Web SEO Ltd Web Design’s portfolio.
- Access Requirements
If the Client’s website is to be installed on a third-party server, Web SEO Ltd must be granted temporary read/write access to the Client’s storage directories which must be accessible via FTP. Depending on the specific nature of the project, other resources might also need to be configured on the server.
- Post-Placement Alterations
Web SEO Ltd cannot accept responsibility for any alterations caused by a third party occurring to the Client’s pages once installed. Such alterations include, but are not limited to additions, modifications or deletions.
- Domain Names
Web SEO Ltd can purchase domain names on behalf of the Client. Payment and renewal of those domain names is the responsibility of the Web SEO Ltd Web Design. The loss, cancellation or otherwise of the domain brought about by non or late payment by the client is not the responsibility of Web SEO Ltd Web Design. The Client should keep a record of the due dates for payment to ensure that payment is received in good time.
- General
These Terms and Conditions supersede all previous representations, understandings or agreements. The Client’s acceptance via email, text or payment of an advance fee constitutes agreement to and acceptance of these Terms and Conditions. Payment online is an acceptance of our terms and conditions.
- Governing Law
This Agreement shall be governed by English Law.
- Liability
Web SEO Ltd hereby excludes itself, its Employees and or Agents from all and any liability from:
Loss or damage caused by any inaccuracy;
Loss or damage caused by omission;
Loss or damage caused by delay or error, whether the result of negligence or other cause in the production of the web site;
Loss or damage to clients’ artwork/photos, supplied for the site. Immaterial whether the loss or damage results from negligence or otherwise.
The entire liability of Web SEO Ltd to the Client in respect of any claim whatsoever or breach of this Agreement, whether or not arising out of negligence, shall be limited to the charges paid for the Services under this Agreement in respect of which the breach has arisen.
- Severability
In the event any one or more of the provisions of this Agreement shall be held to be invalid, illegal or unenforceable, the remaining provisions of this Agreement shall be unimpaired and the Agreement shall not be void for this reason alone. Such invalid, illegal or unenforceable provision shall be replaced by a mutually acceptable valid, legal and enforceable provision, which comes closest to the intention of the parties underlying the invalid clause.

Payment Terms And Conditions
All monthly payments contracts are subject to the following conditions:
- The first monthly payment is due immediately upon signup for the services we offer.
- The second monthly payment is due one month after you website goes live.
- If you wish to cancel your contract within the first month a cancellation fee is required of £20 and all proprietary artwork, logo design and domain name registration will remain the sole property of Web SEO Ltd Web Design. Cheques returned for insufficient funds will be assessed a return charge of £25 and the Client’s account will immediately be considered to be in default until full payment is received. Clients with accounts in default agree to pay Web SEO Ltd reasonable expenses, including legal fees and costs for collection by third-party agencies, incurred by Web SEO Ltd in enforcing these Terms and Conditions.
- After your contract has been running for a period of two (2) months (i.e. you have made 2 monthly payments) the cancellation period is reduced to zero (0) days and all proprietary artwork, logo design and domain name registration will remain the sole property of Web SEO Ltd Web Design.
- After a period of 24 months you will be eligible for a free redesign of your service and all proprietary artwork and logo design will become the sole property of you the client, allowing for the use by Web SEO Ltd of such artwork and logos within its own website for promotional purposes.
- We endeavour to respond to contact requests within 48 hours, but no liability is accepted by Web SEO Ltd for any loss or injury caused by any late response. Web SEO Ltd hereby excludes itself, its Employees and or Agents from all and any liability from:
Loss or damage caused by any inaccuracy;
Loss or damage caused by omission;
Loss or damage caused by delay or error, whether the result of negligence or other cause in the production of the web site;
Loss or damage to clients’ artwork/photos, supplied for the site. Immaterial whether the loss or damage results from negligence or otherwise.
The entire liability of Web SEO Ltd to the Client in respect of any claim whatsoever or breach of this Agreement, whether or not arising out of negligence, shall be limited to the charges paid for the Services under this Agreement in respect of which the breach has arisen.
- In addition you will be able to review the services that we are providing you and request changes and/or additions (subject to the terms above) at any time. Web SEO Ltd offer a courtesy updating service, subject to fair usage, that being no more than 20 updates per annum. The year running from when your website first went online.
- All prices are quoted in pounds Sterling and are plus VAT.

Content Writing Terms and Conditions
The following terms & conditions apply to freelance projects where we provide you with a fixed price for the work to be undertaken. For contract roles (direct or through agencies), a contract must be drafted for that specific job. In most cases, agencies have their own contracts in place. If your organisation does not have a standard agreement for contractors, we can work together to create one based on previous contracts we have used.
For freelance (fixed price) technical author jobs and SEO copywriting jobs:
- Web SEO Ltd Writing Services will produce copy to meet the requirements of your brief.
- If a fixed price has been offered, the quoted price is for one draft and one edit. If further amendments are required, an additional fee may be charged (depending on the amount of work involved).
- If you change your brief mid-project, additional fees may be charged.
- When your payment has cleared, you own the copy. You can use it in as much material as you choose. For example, if you hire Web SEO Ltd Writing Services to produce content for your web site, you can choose to use the same copy for a brochure if you so wish.
- The copy produced by Web SEO Ltd Writing Services is original and not copied from other sources. However, it is your responsibility to ensure the copy does not infringe upon existing copyrights.
- During the project, Web SEO Ltd Writing Services may need to contact you for information. Where practical, all questions will be asked via email so that there is a permanent record of your answers for reference. For this reason, you need to be available to reply to Web SEO Ltd Writing Services. Web SEO Ltd Writing Services cannot be held responsible for missing a deadline if you have not responded to requests for information.
- Web SEO Ltd Writing Services requires 50% payment up front. (This upfront fee may be waived for long term, trusted clients).
- Payment is due, in full, within 30 days of invoice. This is in-keeping with the default amount of payment notice used in courts. If you require a longer time-span for payment, this may be arranged but only prior to the start of your project. Failure to pay may result in legal proceedings, with costs and interest added to the amount owed.
- Web SEO Ltd. accepts payment via cheque, BACS and credit and debit card via PayPal. If you intend to pay via PayPal, you must inform Web SEO Ltd Writing Services prior to invoice as an additional charge of 3.5% will be added to your bill (due to PayPal charges).
- Asking Web SEO Ltd Writing Services to proceed with the project is regarded as your acceptance of these terms and conditions.
- All prices quoted are plus VAT.
Refund Policy
Our refund policy has been devised to define the situations under which Web SEO Ltdwill provide a refund, the procedure for claiming a refund and the responsibility of Web SEO Ltdin circumstances resulting in such a claim. By registering for any of our services you are declaring that you accept and agree with all the terms and conditions outlined in the refund policy.
All the information that we collect is utilized for bettering our web site’s content, to notify the clients about our website updates or to look into the problem with their request. Coverage & Scope

- This policy does not have any application for companies which are not owned or controlled by Web SEO Ltd or for persons not employed or managed by Think 360. This includes any third party service and / or product providers bound by contract and also, any third-party websites to which Think 360’s website link.
Filing a Complaint
- At Web SEO Ltd. A creative digital agency UK and Europe we take every project with the final product in sight. It is as much our responsibility as the client’s. So, we believe that every effort should be made to reach a solution that is fully acceptable reciprocally in case of any situation where dissatisfaction related to services comes. Only when things are completely out of hand that refund should be considered.
- Our final aim is to come to a mutually acceptable solution. Even then if for some reason you are not satisfied and think about going for a refund claim, it is our request that you take out a few precious minutes to write to us at team@think360studio.com for a final dialogue prior to requesting a refund.
- Only if we are unable to reach a common ground with you after talks should a refund claim be filed.

- Full refund: In cases where the project has not been started or if the initial design style has not been approved. The Full Refund policy will initiate after receive the upfront payment date and will take 180 Days to refund the amount.
- Partial refund: If there is a failure to deliver as per our delivery policy after the approval of the initial design style. The partial refund will be in proportion to the work completed.
- No refunds: If the project has been completed and uploaded on the server.
Logo design / brochure design
- Full refund: In cases where the project has not been started or if the initial design style has not been approved.
- Partial refund: If there is a failure to deliver as per our delivery policy after the approval of the initial design style. The partial refund will be in proportion to the work completed.
- No refunds: If the project has been completed and uploaded on the server.
Web programming
- Full refund: If the project has not been initiated.
- There is an agreement for every web programming project. However, if there is no agreement and no clear discussion of refund policy, the following delivery policy will hold true.
- Partial refund will be issued as per the judgement of the service provider if we fail to complete the project in accordance with the delivery policy and contract of agreement. The amount will be calculated by Web SEO Ltd taking into account the proportion of the project completed and the proportion yet to be completed as per the pre-defined scope of the project.
Dedicated Hiring (Offshore staffing solution)
NOTE: Web SEO Ltd delivery commitment is subject to:
- Full refund: If the project has not been initiated by the programmer/ designer/ content writer/ SEO expert or any other resource and/or staff.
- Proportionate refund: In accordance with the amount of work done till the time client decides to cancel the order.
- No refund: For the time that the services have already been provided. If the client is not satisfied with any level of work, he must immediately bring it to the notice of our project manager and ask for any discounts for the work loss. Any negotiations at a later date will not be entertained.
Applicability of the Delivery Policy
NOTE: Web SEO Ltd delivery commitment is subject to:
- A project is not taken to be void unless the agreed upon payments are clear.
- Refund policy is not applicable if the required information for the successful completion of the project is not given to us at proper time. If there is delay or failure in completion of the project due to improper communication from client, it cannot be attributed to Think 360.
- If the information provided by the client is incomplete and/or complete information regarding the project is not provided at the initiation of the project, Web SEO Ltd is not liable to follow its delivery or refund commitments.
- There is no provision for compensation for the delay of delivery under any conditions, until and unless there is an agreement signed with a penalty clause for delay in delivery.
Limitation of Liability
Web SEO Ltd liability is bound by the value of the chunk of the project (as per our proposal) which remains incomplete at a given point point of time. Web SEO Ltdis not obligated for losses due to the services provided/ not provided or the delay in the same at any point of time. The liability to refund holds only if the project has been cancelled by the client and such cancellation has been communicated to Web SEO Ltd in writing.
Processing of Refunds
The partial refunds will be processed and mailed within 180 business days of the date of cancellation and will be brought about using the method of payment agreed upon in the beginning of the project ie; refund by check or refund by credit card.
And The full refunds will be processed and mailed within 50 business days of the date of cancellation and will be brought about using the method of payment agreed upon in the beginning of the project ie; refund by check or refund by credit card.
Changes
Web SEO Ltd may at any time, without prior notice under its sole discretion, amend this policy from time to time. You are therefore requested to review this policy periodically. Your continued use of Web SEO Ltd website after any such amendments automatically implies your acceptance of the same thereof.
